These Terms of Service ("Terms") govern your access to and use of the DataForesight website, platform, and related services (collectively, the "Services") provided by DataForesight, Inc. ("DataForesight," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.
1. Eligibility and Account Registration
You must be at least 18 years old and authorized to bind your organization to use the Services on its behalf. You agree to provide accurate registration information and to keep your account credentials confidential. You are responsible for all activity under your account.
2. Services and License
Subject to these Terms and payment of applicable fees, DataForesight grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the subscription term. We reserve all rights not expressly granted.
3. Customer Data
You retain ownership of data you submit to or connect with the Services ("Customer Data"). You grant DataForesight the rights necessary to host, process, and display Customer Data solely to provide and improve the Services. Our handling of personal information is described in our Privacy Policy.
4. Acceptable Use
You agree not to:
- Use the Services in violation of applicable law or third-party rights;
- Attempt to gain unauthorized access to systems, accounts, or data;
- Reverse engineer, decompile, or scrape the Services except as permitted by law;
- Introduce malware, interfere with service operation, or overload infrastructure;
- Use the Services to process data you do not have the right to access or share;
- Resell or sublicense the Services without our written consent.
5. Fees and Payment
Paid subscriptions are billed according to the plan selected at order or renewal. Fees are non-refundable except as required by law or expressly stated in an order form. We may change pricing upon notice for renewals. Failure to pay may result in suspension or termination.
6. Free Trials and Beta Features
Free trials and beta features are provided "as is" without warranties. We may modify or discontinue them at any time. Trial access may convert to a paid subscription unless cancelled before the trial ends, as disclosed at signup.
7. Intellectual Property
The Services, documentation, software, trademarks, and all related intellectual property are owned by DataForesight or its licensors. Feedback you provide may be used by us without restriction or compensation.
8. Confidentiality
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect such information and use it only for purposes related to the Services. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAFORESIGHT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR DETECT ALL SECURITY OR COMPLIANCE ISSUES.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAFORESIGHT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO DATAFORESIGHT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You will defend and indemnify DataForesight against claims arising from your use of the Services, Customer Data, or violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.
12. Term and Termination
These Terms remain in effect while you use the Services. Either party may terminate for material breach if not cured within thirty (30) days of written notice. Upon termination, your access ceases and we may delete Customer Data after a reasonable retention period, except as required by law.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there, except where prohibited by law.
14. Changes to These Terms
We may modify these Terms by posting an updated version on this page. Continued use after the effective date constitutes acceptance. For material changes, we will provide reasonable notice through the Services or by email.
15. General Provisions
These Terms, together with any order form or data processing agreement, constitute the entire agreement between the parties. If any provision is unenforceable, the remainder stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
